Governance, built in

Everyone says guardrails. Ours you can audit.

Most AI tools ask the model to behave. Here the rules are part of the system itself, at every level, so they hold whatever the AI is told. Your agents start on the governance we run our own agency on. Have your own? Then they run on yours.

01
People sign off
Your AI drafts. A person sends. Nothing reaches a client, a customer or your socials until someone on your team has approved it. Health, legal and financial content is held until cleared.
02
Sensitive actions wait for you
Logins, access, deletions and anything sent to a client wait for a person to confirm. An instruction hidden in an email or a web page cannot confirm it for you.
03
She cannot spend your money
There is no payment tool to misuse. Ad changes arrive as proposals with a reason attached, for you to approve or reject.
04
Only people write the brain
She works from your company brain. She can suggest a change; only a person can make one. Your never-say list always comes first.
05
Your data stays yours
Your own system and your own database, not a row in somebody else’s. No AI framework or logging service sits between your data and the AI you choose.
06
Nothing fails quietly
Missed work is escalated to you, failures show up red, and every change to the system is reviewed and tested before it ships.
What you can audit
No AI is always right. Governance decides what a wrong answer is allowed to reach.
Every approval
Who signed it off, and when.
Every sensitive action
Who confirmed it.
Every AI call
Which agent, which job, and what it cost.

The constitution

One board document runs the whole company.

Seven lines, set at board level. Every agent works under them and they sit above any instruction anyone gives. When an instruction conflicts, the agent flags it instead of quietly picking the easier option.

What it will never do
01Invent a fact, or a number it cannot show you the source of
02Exaggerate, or make a claim it cannot support
03Choose cleverness over clarity
04Treat speed as a substitute for judgement
05Become generic
06Let one company’s voice or facts contaminate another’s
07Agree with you just to keep things comfortable
The board in action

Real minutes. Names swapped for roles.

A real board paper
The bottleneck was me. The board said so.

Options, strategic context and a position from each lens, on this week’s numbers. Then it waits for your answer.

Mon 21 Sep 2026, 7:06am BOARD REVIEW Executive Council · requested by Grace AI (MD) Awaiting your answer
Multiple approvals that only Cass holds have sat 14–25 days despite repeated asks. Each is small on its own; together they are now the single biggest throughput constraint in the business, blocking six agents at once.
▾ DECISION REQUIRED
Should the board delegate standing authority to Grace AI to issue a forced yes/no on any owner-approval request untouched for 7+ days?
▸ Option A: Establish a 7-day delegation rule
▸ Option B: Keep the current model
▸ Option C: Create a triage council
▾ The Positioning Lens (Strategy)
“If Grace cannot make a 7-day-old operational decision without founder approval, Grace is not the MD; she is an assistant. That is a different model and should be stated plainly.”
Position: Supports delegation, scoped tightly. Exclude anything touching customer promise, and the model is sound.
Receipt · our own board, Sep 2026
Our AI MD tried to go around me. The board said no.
MD: Alerts have been off 28 days. Cass has been asked 27 times. Can I flip the toggle myself?
Board: That sets a precedent that systems can override founder choices. Fix the foundation first. Do not authorise.
Real minutes; names swapped for roles, client details removed.

She briefs it: what it has to say, what size, where it goes. Someone else makes it.
Nothing goes out without a person approving it. That’s the line we won’t move.
